No Restrictions on Business. Except for this Agreement, there is no Contract, judgment, injunction, order or decree binding upon the Company or any of its Subsidiaries which would have the effect of prohibiting or impairing any business practice of the Company or any of its Subsidiaries, acquisition of property by the Company or any of its Subsidiaries or the conduct of business by the Company or any of its Subsidiaries as currently conducted or as currently proposed to be conducted by the Company, other than any prohibition or impairment that would not reasonably be expected to have a Material Adverse Effect on the Company.
No Restrictions on Business. There shall be no restrictions on the business which Amalco is authorized to carry on or on the powers that Amalco may exercise.
No Restrictions on Business. Company shall not, and shall not permit any of its subsidiaries to, enter into or otherwise become party to any contract, arrangement, commitment or understanding that expressly restricts or limits, in any material respect, the ability of Parent, Surviving Company or any of the subsidiaries or affiliates of Parent (including Company’s subsidiaries) from conducting, from and after the Effective Time, any of their businesses in any geographical area, other than any contract, arrangement, commitment or understanding imposed or required by a Governmental Entity (provided that this exception shall not limit or otherwise effect the restrictions set forth in Section 5.3(b)) or terminable in full (including the restrictions and limitations on conduct of business) on notice of not more than 45 days by Company or a subsidiary thereof without the incurrence of any material liability (including an incurrence of an obligation to make any payment of any amount in respect of such termination).
No Restrictions on Business. The business which Amalco may carry on shall not be restricted.

Alexion acknowledges that GTI is in the business of developing, manufacturing and selling of medical processes and products and nothing in this Agreement shall be construed as restricting such business or imposing on GTI the duty to market, and/or sell and exploit Licensed Products for which royalties are due hereunder to the exclusion of or in preference to any other product or process.
No Restrictions on Business. Sirius shall not, and shall not permit any of its Subsidiaries to, enter into or otherwise become party to any contract, arrangement, commitment or understanding that will restrict or limit, in any material respect, the ability of Sirius or any of its Subsidiaries or affiliates from conducting, from and after the Closing, any of their businesses in any geographical area, other than any contract, arrangement, commitment or understanding terminable in full (including the restrictions and limitations on conduct of business) on notice of not more than 45 days by Sirius or a Subsidiary thereof without the incurrence of any liability (including an incurrence of an obligation to make any payment of any amount in respect of such termination).
No Restrictions on Business. Neither Asanko nor any Asanko Subsidiary is a party to or bound by any non-competition agreement or any other agreement, obligation, judgment, injunction, order or decree which purports to (i) limit the manner or the localities in which all or any material portion of the business of their business is conducted, (ii) limit any business practice of Asanko or any Asanko Subsidiary in any material respect, or (iii) restrict any acquisition or disposition of any property by Asanko or any Asanko Subsidiary.
No Restrictions on Business. Alpex agrees that Valera is in the business of developing, and selling pharmaceutical products and that nothing in this Agreement shall be construed as restricting such business or imposing on Valera the duty to develop, register, market, and/or to sell the Product hereunder to the exclusion of or in preference to any other product or otherwise preclude Valera from developing or practicing any Valera Intellectual Property or developing pharmaceutical products which are independent of the Alpex Intellectual Property. Correspondingly, except as expressly set forth herein, nothing herein shall be construed as restricting the business of Alpex.

FoxHollow shall not, and shall not permit any of its Subsidiaries to, enter into or otherwise become party to any contract, arrangement, commitment or understanding that will restrict or limit, in any material respect, the ability of FoxHollow or any of its Subsidiaries or affiliates from conducting, from and after the Closing, any of their businesses in any geographical area, other than any contract, arrangement, commitment or understanding terminable in full (including the restrictions and limitations on conduct of business) on notice of not more than 45 days by FoxHollow or a Subsidiary thereof without the incurrence of any liability (including an incurrence of an obligation to make any payment of any amount in respect of such termination).
