NO RESTRICTIONS ON SHARES. As of the Closing Date, subject to satisfaction of Section 4.1(l), no provision of the Charter or Bylaws of the Company, any other agreement, indenture or other instrument to which the Company or its properties are subject, or any Law applicable to the Company (i), except as provided in the Excepted Holder Agreement, directly or indirectly restricts or impairs the right or ability of Purchaser to vote, or otherwise to exercise the rights and receive the benefits of a shareholder with respect to the Shares, including, without limitation, restrictions based upon the size of the security holdings of Purchaser, the business in which it is engaged or other considerations applicable to it and not to security holders generally, or (ii) provides any other security holder of the Company with any preemptive rights.
