Common use of No Right of Indemnification or Contribution Clause in Contracts

No Right of Indemnification or Contribution. The Seller has no right of indemnification or contribution against the Company with respect to any breach by the Seller of its representations, warranties, covenants or agreements in this Agreement, the Transition Services Agreement, or in any certificate, instrument or document delivered by the Seller in connection with this Agreement, whether by virtue of any contractual or statutory right of indemnity or otherwise, and all claims to the contrary are hereby waived and released.

The No Seller has no any right of indemnification or contribution against the any Acquired Company with respect to any breach by the Seller Sellers of its any of their representations, warranties, covenants or agreements in this Agreement, the Transition Services Agreement, Agreement or in any certificate, instrument or document delivered by the Seller in connection with this Ancillary Agreement, whether by virtue of any contractual or statutory right of indemnity or otherwise, and all claims to the contrary are hereby waived and released.

The No Seller has no any right of indemnification or contribution against the Company or any of its Subsidiaries with respect to any breach by the Seller Sellers of its any of their representations, warranties, statements, covenants or agreements contained in this Agreement, the Transition Services Agreement, any Ancillary Agreement or in any certificate, instrument or other document delivered by the Seller in connection with this Agreement, whether by virtue or on behalf of any contractual Seller or statutory right of indemnity the Company pursuant to this Agreement or otherwise, and all claims to the contrary are hereby waived and releasedany Ancillary Agreement.
