Common use of No Rights as Stockholders; Transfer Books Clause in Contracts

No Rights as Stockholders; Transfer Books. Without limiting in any respect the provisions of the Transaction Agreement and except as otherwise provided by the terms of this Warrant, this Warrant does not entitle the Warrantholder to (i) receive dividends or other distributions, (ii) consent to any action of the stockholders of the Company, (iii) receive notice of or vote at any meeting of the stockholders, (iv) receive notice of any other proceedings of the Company, or (v) exercise any other rights whatsoever, in any such case, as a stockholder of the Company prior to the date of exercise hereof.

No Rights as Stockholders; Transfer Books. Without limiting in any respect the provisions of the Transaction Framework Agreement or the Shareholders Agreement (including the preemptive rights set forth in Section 2.3 thereof), and except as otherwise provided by the terms of this Warrant, this Warrant does not entitle the Warrantholder to (i) receive dividends or other distributions, (ii) consent to any action of the stockholders of the CompanyCorporation, (iii) receive notice of or vote at any meeting of the stockholders, (iv) receive notice of any other proceedings of the Company, Corporation or (v) exercise any other rights whatsoever, in any such case, case as a stockholder of the Company Corporation prior to the date of exercise hereof.

Without limiting in any respect the provisions of the Transaction Agreement and except as otherwise provided by the terms of this Warrant, this This Warrant does not entitle the Warrantholder (in such capacity) to (i) receive dividends or other distributions, (ii) consent to any action of the stockholders of the CompanyCorporation, (iii) receive notice of or vote at any meeting of the stockholders, (iv) receive notice of any other proceedings of the Company, Corporation or (v) exercise any other rights whatsoever, in any such case, as a stockholder of the Company prior to Corporation. The Corporation shall at no time close its transfer books against transfer of this Warrant in any manner that interferes with the date timely exercise of exercise hereofthis Warrant.
