No Rights as Stockholders; Transfer Books. The Private Unit Warrants evidenced by this Warrant Certificate do not entitle the Warrantholder or the owner of any beneficial interest in such Private Unit Warrants to any voting rights or other rights as a stockholder of the Company prior to the date of exercise hereof. The Company will at no time close its transfer books against transfer of Private Unit Warrants in any manner which interferes with the timely exercise hereof.
