Common use of No Sales of Common Stock Clause in Contracts

No Sales of Common Stock. Seller shall not, without the prior written consent of Buyer, sell any shares of Common Stock or hedge (through swaps, options, short sales or otherwise) any long position in the Common Stock (i) from the date hereof until the Notice Date, and (ii) until three months after the Notice Date, in each case that would, at the time of such sale or hedge, if added to the Base Amount, exceed the number of shares of Common Stock that Seller would be permitted to sell pursuant to Rule 144(e)(1) under the Securities Act.
