None of the Partnership Entities has sold or issued any Common Units or other interests in the Partnership during the six-month period preceding the date of the Prospectus, including any sales pursuant to Rule 144A under, or Regulations D or S of, the Securities Act other than Common Units (i) issued pursuant to employee benefit plans, qualified options plans or other employee compensation plans or (ii) issued pursuant to outstanding options, rights or warrants.
