No Selling Commission. or Selling Dealer Allowance will be payable to you with respect to any sale of the Securities by you unless and until such time as the Issuer has received the total proceeds of any such sale and the Managing Broker Dealer has received the aggregate amount of sales commission to which it is entitled.
