No Servicing Assignment. Notwithstanding anything to the contrary contained herein, except as provided in Sections 5.02 and 5.04 hereof, this Agreement may not be assigned by the Issuer, the Seller, the Subservicer or the Servicer (except with respect to the appointment of a subservicer) without the prior written consent of the Holders of Notes representing not less than 66-2/3% in principal amount of the Notes Outstanding.
