No Set-Off, Counterclaim or Retention. All payments to be made by the Obligors shall be made in full, without any deductions and to the exclusion of any set-off, counterclaim, right of bailment, retention or lien, restriction or condition, on the respective due dates at such times as the Agent may specify to the Obligors as being customary in the relevant currency in the place for payment.

No Set-Off, Counterclaim or Retention. All payments to be made shall be made free and clear of Taxes (unless the Borrower is compelled by law to make payment subject to Taxes), without any deductions and to the exclusion of any set-off, counterclaim, right of bailment, retention or lien, restriction or condition; unless such claims to be set-off by the Borrower are undisputed or confirmed by a court decision.
