No Setoff; Interest Sample Clauses

The "No Setoff; Interest" clause prohibits one party from reducing or withholding amounts owed under the agreement by claiming a setoff, counterclaim, or deduction for any reason. In practice, this means that each party must pay the full amount due, regardless of any disputes or claims they may have against the other party, and cannot unilaterally adjust payments. Additionally, the clause often specifies that overdue amounts will accrue interest at a stated rate until paid. This clause ensures that payment obligations are clear and enforceable, preventing parties from delaying or reducing payments due to unrelated disputes, and incentivizes timely payment by imposing interest on late amounts.
