Common use of No Solicitation or Hire by Seller Clause in Contracts

No Solicitation or Hire by Seller. For a period of one year after the Closing, neither Seller nor its Affiliates will solicit any Transferred Employee for employment. For purposes of this Section, the term “solicit” shall not include the following activities: (a) advertising for employment in any bulletin board (including electronic bulletin boards), newspaper, trade journal or other publication available for general distribution to the public without specific reference to any particular employees; (b) participation in any hiring fair or similar event open to the public not targeted at Buyer’s employees; and (c) use of recruiting or employee search firms that have been instructed by Seller not to target any Transferred Employee.
