On and after the Effective Date hereof and for the entire period that AcquisitionCo has any Exchangeable Shares issued and outstanding, neither USCo nor CallCo nor any of its affiliates or Subsidiaries will be a “specified financial institution” as that term is defined in the Income Tax Act (Canada).
