No vote or other action by the stockholders of Purchaser is required by Law, Purchaser’s certificate of incorporation and by-laws, or the rules or regulations of any stock exchange on which the Purchaser Common Stock is listed or quoted in order for Purchaser to consummate the transactions contemplated by this Agreement and the Other Transaction Documents.
