There is no existing or threatened Action brought by any Governmental Authority or any other Person against any party to the Transaction Documents and the Remaining Share Transaction Documents, which may restrict, impede or prohibit the transactions under the Transaction Documents and the Remaining Share Transaction Documents or cause Material Adverse Effect on the conditions for the transactions under the Transaction Documents.
