Common use of No Tender Offers Clause in Contracts

No Tender Offers. No Investor may utilize any list of Members in the Fund to conduct any tender offer for Shares subject to Section 14(e) of the Exchange Act and the rules and regulations of the SEC thereunder. No Investor may utilize any list of Members to conduct a tender offer for the Shares (or any class or Series thereof) which are registered under Section 12 of the Exchange Act or which are otherwise subject to Section 14(d) of the Exchange Act, except if such tender offer is made in compliance with Section 14(d) of the Exchange Act, and if the tender offeror is using a list of Members, such list of Members must have been received from the Fund pursuant to Section 14(d) of the Exchange Act and the rules and regulations of the SEC thereunder.
