In that one objective of this License is to expeditiously but without undue expense or loss of revenue to Licensee end the use of the Licensed Marks in the Licensed Field of Use by the end of the Term, without limiting the Parties’ rights under Section 12(f), only the events identified in Section 5(a) shall be grounds for Licensor to terminate this Agreement prior to the end of the Term. For all other breaches of this Agreement (each a “non-Material Breach”), Licensee and its Affiliates must make commercially reasonable efforts to correct such non-Material Breach within sixty (60) days of receiving written notice from Licensor under Section 12(k), setting forth a reasonable description of the asserted breach. The Parties agree that the mutual covenants and considerations of this Agreement shall not prejudice the Parties’ respective rights to recover damages for any Material Breach of this Agreement.
