No Termination or Abatement. The Lessee shall remain obligated under this Lease in accordance with its terms and the terms of the other Operative Documents and shall not take any action to terminate, rescind or avoid this Lease (except as provided herein) to the fullest extent permitted by Applicable Laws, notwithstanding any action for bankruptcy, insolvency, reorganization, liquidation, dissolution, or other proceeding affecting the Lessor, the Collateral Agent or any Lender, or any action with respect to this Lease which may be taken by any trustee, receiver or liquidator of the Lessor, the Collateral Agent or any Lender or by any court with respect to the Lessor, the Collateral Agent or any Lender. The Lessee hereby waives all right to terminate or surrender this Lease (except as provided herein) or to avail itself of any abatement, suspension, deferment, reduction, setoff, counterclaim or defense with respect to any Rent. The Lessee shall remain obligated under this Lease in accordance with its terms and the terms of the other Operative Documents and the Lessee hereby waives any and all rights now or hereafter conferred by statute or otherwise to modify or to avoid strict compliance with its obligations under this Lease. Notwithstanding any such statute or otherwise, the Lessee shall be bound by all of the terms and conditions contained in this Lease.

No Termination or Abatement. The Lessee hereby waives all right to terminate or surrender this Lease (except as provided hereinherein or in the other Operative Documents) or to avail itself of any abatement, suspension, deferment, reduction, setoff, counterclaim or defense with respect to any RentRent payable to any Participant or the Administrative Agent. The Lessee shall remain obligated under this Lease in accordance with its terms and the terms of the other Operative Documents to which Lessee or an Affiliate of Lessee is a party and the Lessee hereby waives any and all rights now conferred as of the Restatement Date or hereafter conferred thereafter by statute or otherwise to modify or to avoid strict compliance with its obligations under this Lease. Notwithstanding any such statute or otherwise, the Lessee shall be bound by all of the terms and conditions contained in this Lease.

Notwithstanding any such statute or otherwise, the Lessee shall be bound by all of the terms and conditions contained in this Lease.

The Lessee shall remain obligated under this Lease in accordance with its terms and the terms of the other Operative Documents and the Lessee hereby waives any and all rights now or hereafter conferred by statute or otherwise to modify or to avoid strict compliance with its obligations under this LeaseLease and the Operative Documents. Notwithstanding any such statute or otherwise, the Lessee Lessees, jointly and severally, shall be bound by all of the terms and conditions contained in this Lease.. ARTICLE VI

The Lessee shall remain obligated --------------------------- under this Master Lease in accordance with its terms and the terms of the other Operative Documents and shall not take any action to terminate, rescind or avoid this Master Lease (except as provided herein) , including among such exceptions the right to the fullest extent permitted by Applicable Lawsexercise purchase options hereunder), notwithstanding any action for bankruptcy, insolvency, reorganization, liquidation, dissolution, or other proceeding affecting the Lessor, the Collateral Agent Lessor or any LenderParticipant, or any action with respect to this Master Lease which may be taken by any trustee, receiver or liquidator of the Lessor, the Collateral Agent Lessor or any Lender Participant or by any court with respect to the Lessor, the Collateral Agent Lessor or any LenderParticipant. The Lessee hereby waives all right to terminate or surrender this Master Lease (except as provided herein) or, except as a consequence of the payment of the Lease Balance as a result of the payment of Casualty or Condemnation proceeds pursuant to the terms of Section 14.1 of this Master Lease, or as a result of a ------------ purchase of the Property pursuant to Section 18.1, to avail itself of any ------------ abatement, suspension, deferment, reduction, setoff, counterclaim or defense with respect to any Rentthe Lease Balance. The Lessee hereby waives all right to terminate or surrender this Master Lease (except as provided herein) or except as a consequence of a reduction in the Lease Balance as a result of Casualty or Condemnation proceeds pursuant to the terms of Section 14.1 of this Master Lease, or as a result of a purchase of the Property pursuant to Section 18.1 of this Master Lease, to avail itself of any abatement, suspension, deferment, reduction, setoff, counterclaim or defense with respect to any Rentthe Lease Balance. The Lessee shall remain obligated under this Master Lease in accordance with its terms and the terms of the other Operative Documents and the Lessee hereby waives any and all rights now or hereafter conferred by statute or otherwise to modify or to avoid strict compliance with its obligations under this LeaseMaster Lease and the Operative Documents. Notwithstanding any such statute or otherwise, the Lessee shall be bound by all of the terms and conditions contained in this Master Lease.

The Each Lessee shall remain obligated under this Lease in accordance with its terms and the terms of the other Operative Documents and shall not take any action to terminate, rescind or avoid this Lease (except as provided herein) to the fullest extent permitted by Applicable Laws, notwithstanding any action for bankruptcy, insolvency, reorganization, liquidation, dissolution, or other proceeding affecting the Lessor, the Collateral Agent or any Lender, or any action with respect to this Lease which may be taken by any trustee, receiver or liquidator of the Lessor, the Collateral Agent or any Lender or by any court with respect to the Lessor, the Collateral Agent or any Lender. The Each Lessee hereby waives waives, to the extent permitted by Applicable Laws, all right to terminate or surrender this Lease (except as provided herein) or to avail itself of any abatement, suspension, deferment, reduction, setoff, counterclaim or defense with respect to any Rent. The Each Lessee shall remain obligated under this Lease in accordance with its terms and the terms of the other Operative Documents and the each Lessee hereby waives waives, to the extent permitted by Applicable Laws, any and all rights now or hereafter conferred by statute or otherwise to modify or to avoid strict compliance with its obligations under this Lease. Notwithstanding any such statute or otherwise, the Lessee Lessees, jointly and severally, shall be bound by all of the terms and conditions contained in this Lease.

No Termination or Abatement. The Lessee shall remain obligated under this Amended and Restated Master Lease in accordance with its terms and the terms of the other Operative Documents and shall not take any action to terminate, rescind or avoid this Amended and Restated Master Lease (except as provided herein) to the fullest extent permitted by Applicable Laws), notwithstanding any action for bankruptcy, insolvency, reorganization, liquidation, dissolution, or other proceeding affecting the Lessor, the Collateral Agent or any Lender, Lessor or any action with respect to this Amended and Restated Master Lease which may be taken by any trustee, receiver or liquidator of the Lessor, the Collateral Agent or any Lender Lessor or by any court with respect to the Lessor, the Collateral Agent or any Lender. The Lessee hereby waives all right to terminate or surrender this Amended and Restated Master Lease (except as provided herein) or except as a consequence of a reduction in the Lease Balance as a result of Casualty or Condemnation proceeds pursuant to the terms of Section 14.1 of this Amended and Restated Master Lease, or as a result of a purchase of the Property pursuant to Section 18.1 of this Amended and Restated Master Lease, to avail itself of any abatement, suspension, deferment, reduction, setoff, counterclaim or defense with respect to any Rentthe Lease Balance. The Lessee shall remain obligated under this Amended and Restated Master Lease in accordance with its terms and the terms of the other Operative Documents and the Lessee hereby waives any and all rights now or hereafter conferred by statute or otherwise to modify or to avoid strict compliance with its obligations under this LeaseAmended and Restated Master Lease and the Operative Documents. Notwithstanding any such statute or otherwise, the Lessee shall be bound by all of the terms and conditions contained in this Amended and Restated Master Lease.

No Termination or Abatement. The Lessee shall remain obligated under this Master Lease in accordance with its terms and the terms of the other Operative Documents and shall not take any action to terminate, rescind or avoid this Master Lease (except as provided herein) to the fullest extent permitted by Applicable Laws, notwithstanding any action for bankruptcy, insolvency, reorganization, liquidation, dissolution, dissolution or other proceeding affecting the Lessor, the Collateral Agent or any Lender, Transaction Party or any action with respect to this Master Lease which may be taken by any trustee, receiver or liquidator of the Lessor, the Collateral Agent or any Lender Transaction Party or by any court with respect to the Lessor, the Collateral Agent or any LenderTransaction Party. The Lessee hereby waives all right (i) to terminate or surrender this Master Lease (except as provided herein) or (ii) to avail itself of any abatement, suspension, deferment, reduction, setoff, counterclaim or defense with respect to any Basic Rent or Supplemental Rent. The Lessee shall remain obligated under this Master Lease in accordance with its terms and to the terms of the other Operative Documents and extent waivable under applicable law, the Lessee hereby waives any and all rights now or hereafter conferred by statute or otherwise to modify or to avoid strict compliance with its obligations under this Master Lease. Notwithstanding any such statute or otherwise, the Lessee shall be bound by all of the terms and conditions contained in this Master Lease.

No Termination or Abatement. The Lessee shall remain obligated under this Master Lease in accordance with its terms and the terms of the other Operative Documents and shall not take any action to terminate, rescind or avoid this Master Lease (except as provided herein) to the fullest extent permitted by Applicable Laws), notwithstanding any action for bankruptcy, insolvency, reorganization, liquidation, dissolution, or other proceeding affecting the Lessor, the Collateral Agent or any LenderParticipant, or any action with respect to this Master Lease which may be taken by any trustee, receiver or liquidator of the Lessor, the Collateral Agent or any Lender Participant or by any court with respect to the Lessor, the Collateral Agent or any LenderParticipant. The Lessee hereby waives waives, to the extent permitted by law, all right (i) to terminate or surrender this Master Lease (except as provided herein) or (ii) to avail itself of any abatement, suspension, deferment, reduction, setoff, counterclaim or defense (other than the defense of final, irrevocable payment) with respect to any Rent. The Lessee shall remain obligated under this Master Lease in accordance with its terms and the terms of the other Operative Documents and the Lessee hereby waives waives, to the extent permitted by law, any and all rights now or hereafter conferred by statute or otherwise to modify or to avoid strict compliance with its obligations under this Master Lease. No Termination or Abatement. Notwithstanding any such statute or otherwise, the Lessee shall be bound by all of the terms and conditions contained in this LeaseMaster Lease and the Lease Supplements.

No Termination or Abatement. The Lessee Tenant, to the fullest extent permitted by law and unless specifically provided herein, shall remain obligated under bound by this Lease in accordance with its terms and the terms of the other Operative Documents and in all events. Except as expressly permitted herein, Tenant shall not take any action without the prior written consent of Landlord to terminatemodify, rescind surrender or avoid terminate this Lease. The obligations of Landlord and Tenant hereunder shall be separate and independent covenants and agreements, and Rent and all other sums payable by Tenant hereunder, including, without limitation, Impositions shall continue to be payable by Tenant hereunder in any event unless (i) the obligation of Tenant to pay the same abates or terminates pursuant to the express provisions of this Lease, or (ii) Rent and such other sums abates or is reduced as provided in Section 4.3 or Section 6.2 . The Lessee hereby waives all right to terminate or surrender this Lease (except as provided herein) or to avail itself of any abatement, suspension, deferment, reduction, setoffsuspension or deferment of Rent or other sums payable by Tenant hereunder, counterclaim in the case of either (x) or defense with respect (y) above, except to any Rent. The Lessee shall remain obligated under this Master Lease in accordance with its terms and the terms of the other Operative Documents and shall not take any action to terminate, rescind or avoid this Master Lease (except as provided herein) to the fullest extent permitted by Applicable Laws), notwithstanding any action for bankruptcy, insolvency, reorganization, liquidation, dissolution, or other proceeding affecting the Lessor, the Collateral Agent Lessor or any LenderParticipant, or any action with respect to this Master Lease which may be taken by any trustee, receiver or liquidator of the Lessor, the Collateral Agent Lessor or any Lender Participant or by any court with respect to the Lessor, the Collateral Agent Lessor or any LenderParticipant.
