No Third Party Beneficiaries or Assignees. Nothing herein expressed or implied is intended to confer upon any person, other than the parties hereto or the Holders (to the extent expressly provided herein) any rights, remedies, obligations or liabilities under or by reason of this Agreement. Neither this Agreement not the rights or obligations hereunder may be assigned or otherwise transferred by any Holder except as permitted herein with respect to a Transfer of Registrable Shares.
