Common use of No Third Party Infringement of Company IP Clause in Contracts

No Third Party Infringement of Company IP. To the Knowledge of the Seller Parties and the Company, no Person has infringed, misappropriated or otherwise violated, and no Person is currently infringing, misappropriating or otherwise violating, any Company IP.

No Third Party Infringement of Company IP. To the Knowledge of the Seller Parties and the Company, (i) no Person since May 1, 2015 has infringed, misappropriated misappropriated, or otherwise violated, and (ii) no Person is currently infringing, misappropriating or otherwise violating, any Company IP.

No Third Party Infringement of Company IP. To the Knowledge of the Seller Parties and the Company, no Person has infringed, misappropriated misappropriated, or otherwise violated, and no Person is currently infringing, misappropriating or otherwise violating, any Company IPR. Neither the Company nor any of its Subsidiaries have brought any actions or lawsuits alleging (i) infringement, misappropriation or other violation of any Company IP or (ii) breach of any license, sublicense or other agreement authorizing another party to use any Company IP.

To the Company’s Knowledge of the Seller Parties and the Company, no Person has infringed, misappropriated or otherwise violated, or disputed the Company’s rights to any Company IP and no Person is currently infringing, misappropriating or otherwise violating, or disputing the Company’s rights to any Company IP.

No Third Party Infringement of Company IP. To the Knowledge of the Seller Parties and the Company’s Knowledge, no Person has infringed, misappropriated misappropriated, or otherwise violated, and and, to the Company’s Knowledge, no Person is currently infringing, misappropriating or otherwise violating, any Company IP.. The Company has not brought any Actions alleging (i) infringement, misappropriation or other violation of any Company IP or (ii) breach of any license, sublicense or other agreement authorizing another party to use any Company IP,

The Company has not put a third party on notice of actual or potential infringement of any of the Company IP. The Company has not initiated any enforcement action with respect to any of the Company IP.

No Third Party Infringement of Company IP. To the Knowledge of the Seller Parties and the Company's Knowledge, no Person has infringed, misappropriated or otherwise violated, and no Person is currently infringing, misappropriating or otherwise violating, any Company IP.

To the Knowledge of the Seller Parties and the CompanySelling Shareholders' Knowledge, no Person has infringed, misappropriated misappropriated, or otherwise violated, and no Person is currently infringing, misappropriating or otherwise violating, any Company IP.

To the Knowledge of the Seller Parties and the Company’s Knowledge, no Person has infringed, misappropriated misappropriated, or otherwise violated, and no Person is currently infringing, misappropriating or otherwise violating, any Company IPR. Neither the Company not any Company Entity has brought any actions or lawsuits or made any written or unwritten claim against any Person alleging infringement, misappropriation or other violation of any Company IP.

No Third Party Infringement of Company IP. To the Knowledge of the Seller Parties and the Company’s Knowledge, (i) no Person has infringed, misappropriated or otherwise violated, and (ii) no Person is currently infringing, misappropriating or otherwise violating, any Company IP, and (iii) no Person has alleged and there is no suspected infringement or misappropriation of any Company IP.

No Third Party Infringement of Company IP. To the Knowledge of the Seller Parties and the Company’s knowledge, no Person has infringed, misappropriated misappropriated, diluted or otherwise violated, and no Person is currently infringing, misappropriating misappropriating, diluting or otherwise violating, violating any Company IPIP (including Company’s Intellectual Property Rights therein). The Company has made available to Parent complete and accurate copies of all documents regarding any actual, alleged, or suspected infringement, misappropriation, or other violation of any Company IP or Intellectual Property Rights included therein.

No Third Party Infringement of Company IP. To the Knowledge of the Seller Parties and the Company, no Person has infringed, misappropriated misappropriated, or otherwise violated, and no Person is currently infringing, misappropriating or otherwise violating, any Company IP.. The Company

The Company has Made Available to Parent complete and accurate copies of all documents regarding any actual, alleged, or suspected infringement, misappropriation, or other violation of any Company IP or IP Rights included therein.

No Third Party Infringement of Company IP. To the Knowledge of the Seller Parties and the Company, since November 9, 2001, no Person has infringed, misappropriated or otherwise violated, and no Person is currently infringing, misappropriating or otherwise violating, any Company IP.

No Third Party Infringement of Company IP. To the Knowledge of the Seller Parties Company and the CompanySeller, no Person has infringed, misappropriated misappropriated, or otherwise violated, and no Person is currently infringing, misappropriating or otherwise violating, any Company IP. The Company has not brought any Actions against any Person with respect to any Company IP and has not sent or received any written correspondence regarding any actual, alleged or suspected infringement or misappropriation of any Company IP.

No Third Party Infringement of Company IP. To the Knowledge of the Seller Parties Company and the CompanySeller, no Person has infringed, misappropriated or otherwise violated, and no Person is currently infringing, misappropriating or otherwise violating, any Company IP or Company Licensed IP.
