No Third Party Infringement of Company IP. To the Knowledge of the Company, no Person has infringed, misappropriated, or otherwise violated, and no Person is currently infringing, misappropriating or otherwise violating, any Company IP. The Company has Made Available a true, correct and complete copy of each letter or other written or electronic communication or correspondence that has been sent or otherwise delivered by or to the Company or any Subsidiary or any of their respective representatives regarding any actual, alleged or suspected infringement or misappropriation of any Company IP.

No Third Party Infringement of Company IP. To the Knowledge of the Company, no Person has infringed, misappropriated, misappropriated or otherwise violated, and no Person is currently infringing, misappropriating or otherwise violating, any Company IP. The Part 2.10(h) of the Disclosure Schedule accurately identifies (and the Company has Made Available made available to Parent a true, correct complete and complete accurate copy of of) each letter or other written or electronic communication or correspondence that has been sent or otherwise delivered by or to the Company or any Subsidiary or representative of the Company to any of their respective representatives Person regarding any actual, alleged or suspected infringement or misappropriation of any Company IP.

No Third Party Infringement of Company IP. To the Knowledge of the Company, no Person has infringed, misappropriated, or otherwise violated, and no Person is currently infringing, misappropriating or otherwise violating, any Company IP. The Section 2.13(f) of the Disclosure Schedule accurately identifies (and the Company has Made Available a true, correct and complete copy of of) each letter or other written or electronic communication or correspondence that has been sent or otherwise delivered by or to the Company or any Subsidiary or any of their respective representatives regarding any actual, alleged or suspected infringement or misappropriation of any Company IP.

No Third Party Infringement of Company IP. To the Knowledge of the Company’s knowledge, no Person has infringed, misappropriated, or otherwise violated, and no Person is currently infringing, misappropriating misappropriating, or otherwise violating, violating any Company IPIP (including the Acquired Companies’ IP Rights therein). The Company has Made Available a true, correct to Parent complete and complete copy accurate copies of each letter or other written or electronic communication or correspondence that has been sent or otherwise delivered by or to the Company or any Subsidiary or any of their respective representatives all documents regarding any actual, alleged alleged, or suspected infringement infringement, misappropriation, or misappropriation other violation of any Company IPIP or IP Rights included therein.

No Third Party Infringement of Company IP. To the Knowledge of the Company’s knowledge, no Person has infringed, misappropriated, diluted or otherwise violated, and no Person is currently infringing, misappropriating misappropriating, diluting or otherwise violating, violating any Company IPIP (including Company’s Intellectual Property Rights therein). The Company has Made Available a true, correct made available to Parent complete and complete copy accurate copies of each letter or other written or electronic communication or correspondence that has been sent or otherwise delivered by or to the Company or any Subsidiary or any of their respective representatives all documents regarding any actual, alleged alleged, or suspected infringement infringement, misappropriation, or misappropriation other violation of any Company IPIP or Intellectual Property Rights included therein.

No Third Party Infringement of Company IP. To the Knowledge of the Company, no Person has infringed, misappropriated, or otherwise violated, and no Person is currently infringing, misappropriating or otherwise violating, any Company IPIPR. The Neither the Company has Made Available a truenor any of its Subsidiaries have brought any actions or lawsuits alleging (i) infringement, correct and complete copy of each letter misappropriation or other written violation of any Company IP or electronic communication (ii) breach of any license, sublicense or correspondence that has been sent or otherwise delivered by or other agreement authorizing another party to the Company or any Subsidiary or any of their respective representatives regarding any actual, alleged or suspected infringement or misappropriation of use any Company IP.

No Third Party Infringement of Company IP. To the Knowledge of the CompanyCompany and Seller, no Person has infringed, misappropriated, or otherwise violated, and no Person is currently infringing, misappropriating or otherwise violating, any Company IP. The Company has Made Available a true, correct not brought any Actions against any Person with respect to any Company IP and complete copy of each letter or other written or electronic communication or correspondence that has been not sent or otherwise delivered by or to the Company or received any Subsidiary or any of their respective representatives written correspondence regarding any actual, alleged or suspected infringement or misappropriation of any Company IP.

No Third Party Infringement of Company IP. To the Knowledge of the Company’s Knowledge, no Person has infringed, misappropriated, or otherwise violated, and no Person is currently infringing, misappropriating or otherwise violating, any Company IPIPR. The Neither the Company not any Company Entity has Made Available a truebrought any actions or lawsuits or made any written or unwritten claim against any Person alleging infringement, correct and complete copy of each letter misappropriation or other written or electronic communication or correspondence that has been sent or otherwise delivered by or to the Company or any Subsidiary or any of their respective representatives regarding any actual, alleged or suspected infringement or misappropriation violation of any Company IP.

No Third Party Infringement of Company IP. To the Knowledge of the Company, no Person has infringed, misappropriated, or otherwise violated, and no Person is currently infringing, misappropriating or otherwise violating, any Company IP. The Company has Made Available not put a true, correct and complete copy third party on notice of each letter actual or other written or electronic communication or correspondence that has been sent or otherwise delivered by or to potential infringement of any of the Company or IP. The Company has not initiated any Subsidiary or enforcement action with respect to any of their respective representatives regarding any actual, alleged or suspected infringement or misappropriation of any the Company IP.

No Third Party Infringement of Company IP. To the Knowledge of the Company’s Knowledge, no Person has infringed, misappropriated, or otherwise violated, and and, to the Company’s Knowledge, no Person is currently infringing, misappropriating or otherwise violating, any Company IP.
