Common use of No Third-Person Beneficiaries Clause in Contracts

No Third-Person Beneficiaries. Nothing in this Agreement shall entitle any Person other than Purchaser and Seller to any claim, cause of action, remedy or right of any kind, except the rights expressly provided to the Persons described in Section 12.4, Section 12.19 and Article 11, which rights shall be exercised through the applicable Party. Accordingly, references to the indemnification rights of Purchaser or Seller under this Agreement shall be deemed to include the indemnification rights of the Purchaser Group or the Seller Group, as applicable.

No Third-Person Beneficiaries. Nothing in this Agreement shall entitle any Person other than Purchaser and Seller to any claim, cause of action, remedy or right of any kind, except (a) the rights expressly provided to the Persons described in Section 12.46.5, Section 12.19 9.5 and Article 11, and (b) the Financing Sources, which rights shall be exercised through are hereby made express third party beneficiaries of Section 11.8, the applicable Party. Accordinglylast sentence of Section 12.6, references to the indemnification rights last two sentences of Purchaser or Seller under Section 12.7 and the last sentence of Section 12.12 and this Agreement shall be deemed to include the indemnification rights of the Purchaser Group or the Seller Group, as applicableSection 12.13.

Accordingly, references delivered pursuant to the indemnification rights of Purchaser or Seller under this Agreement shall be deemed to include the indemnification rights of the Purchaser Group or the Seller Group, as applicableSection 8.2(l).
