No Transfer Except as Provided. Davies shall not, at any time during the Term of this Agreement, in any manner convey or transfer the Business, or any part thereof, except in accordance with the terms and conditions contained in this Section 10.
No Transfer Except as Provided. No shareholder of the Company shall sell, transfer, assign, pledge or otherwise, in any other manner, dispose of or encumber its shares in the Company, except as specifically provided in this Article 11; and any transfer, sale, assignment, pledge or other disposition or encumbrance of shares by a party hereto not made pursuant to this Article 11 shall be null and void and of no effect whatsoever, and shall not be recorded upon the books of the Company, except as may be required by Hong Kong law.
