No Transfer; No Inconsistent Arrangements. (a) Each Stockholder hereby agrees that, from and after the date hereof and until this Agreement is terminated, such Stockholder shall not, directly or indirectly, take any action that would have the effect of preventing, materially delaying or materially impairing such Stockholder from performing any of its obligations under this Agreement.

No Transfer; No Inconsistent Arrangements. (a) Each Stockholder hereby agrees that, from and after the date hereof and until this Agreement is terminated, that such Stockholder shall not, directly or indirectly, not take any action that would result in a breach of any representation or warranty of such Stockholder contained herein or have the effect of preventing, materially delaying preventing or materially impairing disabling such Stockholder from performing any of its obligations under this Agreement or would reasonably be expected to materially impede or materially delay the performance by any Stockholder of its obligations under this Agreement.
