Common use of No Transfer of Common Stock Clause in Contracts

No Transfer of Common Stock. Until the earlier to occur of the Closing Date or the termination of this Agreement pursuant to Section 14, Xxxxxxx International will not, without the prior written consent of the Special Committee, Transfer any shares of Common Stock held, directly or indirectly, by Xxxxxxx International; provided however, that Xxxxxxx International may Transfer all or any portion of its shares of Common Stock to one or more of its affiliates, which shall agree in writing to take such securities subject to, and to comply with, the terms of this Agreement.
