NO TRANSFER OF PARTNERSHIP INTERESTS. Neither the General Partner nor the Limited Partner shall sell, transfer, assign, convey or otherwise dispose of, or encumber or hypothecate, all or any part of its Partnership Interest to any Person. Any such purported transfer or pledge shall be deemed null and void and shall not be recognized by the Partnership or the other Partners.
