Common use of No Transfer of Voting Rights Clause in Contracts

No Transfer of Voting Rights. Except to the extent necessary to vote the Shares in accordance with Section 2 and/or Section 3, during the period from the date of this Agreement through the Expiration Date, Shareholder shall not deposit (or permit the deposit of) any Shares in a voting trust or grant any proxy or enter into any voting trust or other agreement or arrangement with respect to the voting of any Shares.

Except to The Shareholder hereby agrees that, at all times commencing with the extent necessary to vote the Shares in accordance with Section 2 and/or Section 3, during the period from the date execution and delivery of this Agreement through until the Expiration Date, the Shareholder shall not deposit (deposit, or permit the deposit of) , any Shares in a voting trust or trust, grant any proxy in respect of the Shares, or enter into any voting trust or other agreement or arrangement similar Contract to vote or give instructions with respect to the voting Shares (other than this Agreement and the Proxy) in contravention of the obligations of the Shareholder (including in any manner inconsistent with Section 3 below) under this Agreement with respect to any of the Shares.

Except to the extent necessary to vote the Shares in accordance with Section 2 and/or Section 3Shareholder agrees that, during the period from the date of this Agreement through the Expiration Date, Shareholder shall not deposit (or permit the deposit of) any Shares or Options in a voting trust or grant any proxy or enter into any voting trust or other agreement or arrangement similar agreement in contravention of the obligations of Shareholder under this Agreement with respect to any of the voting of any SharesShares or Options.
