Without limiting the preceding paragraph, except as set forth in the unaudited balance sheet of the Company as of July 31, 2006, the Company does not have any material liability for: (i) indebtedness for money borrowed; (ii) the deferred purchase price of property or services; (iii) capital lease obligations; (iv) conditional sale or other title retention agreements; or (v) guarantees or other third party undertakings for any liability or obligation of any other Person for any matter which relates to or affects or will affect such parties or any of the Assets.
