No Undue Burden. The Pipeline shall not be erected, installed, constructed, repaired, replaced or maintained in any manner that places an undue burden on the present or future use of the Public Rights-of-Way by the City and the public. If the City reasonably determines that the Pipeline does place an undue burden on any portion of the Public Rights-of-Way, Company, at Company's sole cost and expense and within a reasonable time period specified by the City, shall modify the Pipeline or take other actions determined by the City to be in the public interest to remove or alleviate the burden.
No Undue Burden. No claim, action, suit, inquiry, request, determination, requirement, pronouncement (whether formal or informal), proceeding, audit or investigation or any other arbitration, mediation or similar proceeding shall have been commenced by or before any bank regulatory authority that, in the reasonable, good faith determination of Parent, is likely to impose an Undue Burden.

No Undue Burden. Contractor acknowledges that: (i) this Agreement has been specifically bargained between the Parties and reviewed by Contractor, (ii) Contractor has had an opportunity to obtain legal counsel to review this Agreement, and (iii) the covenants made by and duties imposed upon Contractor hereby are fair, reasonable, and minimally necessary to protect the legitimate business interests of Discloser, and such covenants and duties will not place an undue burden upon Contractor in the event of termination of Contractor's contract with Discloser and the strict enforcement of the covenants contained herein.
