Common use of No Unfair Competition Clause in Contracts

No Unfair Competition. a. For a period of 12 months after the Effective Date, Xx. Xxxx will not engage in any unfair competition against the Company, or any of its subsidiaries or affiliates. b. For a period of 12 months after the Effective Date, Xx. Xxxx will not, directly or indirectly, solicit or contact for the purpose of diverting or taking away or attempt to solicit or contact for the purpose of diverting or taking away: (1) any existing customer of the Company or its affiliates or subsidiaries; (2) any prospective customer of the Company or its affiliates or subsidiaries about whom Xx. Xxxx acquired information as a result of any solicitation efforts by the Company or its affiliates or subsidiaries, or by the prospective customer, during Xx. Xxxx'x employment with the Company; (3) any existing vendor of the Company or its affiliates or subsidiaries; (4) any prospective vendor of the Company or its affiliates or subsidiaries, about whom Xx. Xxxx acquired information as a result of any solicitation efforts by the Company or its affiliates or subsidiaries, or by the prospective vendor, during Xx. Xxxx'x employment with the Company; (5) any existing employee, agent or consultant of the Company or its affiliates or subsidiaries, to terminate or otherwise alter the person's or entity's employment, agency or consultant relationship with the Company or its affiliates or subsidiaries; or (6) any existing employee, agent or consultant of the Company or its affiliates or subsidiaries, to work in any capacity for or on behalf of any person, Company or other business enterprise that is in competition with the Company or its affiliates or subsidiaries.

No Unfair Competition. a. For a period of 12 months after the Effective Date, Xx. Xxxx Xxxxxx will not engage in any unfair competition against the CompanyCorporation, its parent or any of its subsidiaries or affiliates. b. For a period of 12 months one year after the Effective Date, Xx. Xxxx Xxxxxx will not, directly or indirectly, solicit or contact for the purpose of diverting or taking away or attempt to solicit or contact for the purpose of diverting or taking away: (1) any existing customer of the Company Corporation or its parent, affiliates or subsidiaries; (2) any prospective customer of the Company Corporation or its parent, affiliates or subsidiaries about whom Xx. Xxxx Xxxxxx acquired information as a result of any solicitation efforts by the Company Corporation or its parent, affiliates or subsidiaries, or by the prospective customer, during Xx. Xxxx'x Xxxxxx’x employment with the CompanyCorporation; (3) any existing vendor of the Company Corporation or its parent, affiliates or subsidiaries; (4) any prospective vendor of the Company Corporation or its parent, affiliates or subsidiaries, about whom Xx. Xxxx Xxxxxx acquired information as a result of any solicitation efforts by the Company Corporation or its parent, affiliates or subsidiaries, or by the prospective vendor, during Xx. Xxxx'x Xxxxxx’x employment with the CompanyCorporation; (5) any existing employee, agent or consultant of the Company Corporation or its parent, affiliates or subsidiaries, to terminate or otherwise alter the person's ’s or entity's ’s employment, agency or consultant relationship with the Company Corporation or its parent, affiliates or subsidiaries; or (6) any existing employee, agent or consultant of the Company Corporation or its parent, affiliates or subsidiaries, to work in any capacity for or on behalf of any person, Company company or other business enterprise that is in competition with the Company Corporation or its parent, affiliates or subsidiaries.

Xxxx Xxxxx acquired information as a result of any solicitation efforts by the Company or its affiliates or subsidiaries, or by the prospective customer, during Xx. Xxxx'x Xxxxx' s employment with the Company; (3) any existing vendor of the Company or its affiliates or subsidiaries; (4) any prospective vendor of the Company or its affiliates or subsidiaries, about whom Xx. Xxxx Xxxxx acquired information as a result of any solicitation efforts by the Company or its affiliates or subsidiaries, or by the prospective vendor, during Xx. Xxxx'x Xxxxx' s employment with the Company; (5) any existing employee, agent or consultant of the Company or its affiliates or subsidiaries, to terminate or otherwise alter the person's or entity's ' s employment, agency or consultant relationship with the Company or its affiliates or subsidiaries; or (6) any existing employee, agent or consultant of the Company or its affiliates or subsidiaries, to work in any capacity for or on behalf of any person, Company or other business enterprise that is in competition with the Company or its affiliates or subsidiaries.

Xxxx Xxxxxxxxx acquired information as a result of any solicitation efforts by the Company Corporation or its affiliates or subsidiaries, or by the prospective vendor, during Xx. Xxxx'x Xxxxxxxxx’x employment with the CompanyCorporation; (5) any existing employee, agent or consultant of the Company Corporation or its affiliates or subsidiaries, to terminate or otherwise alter the person's ’s or entity's ’s employment, agency or consultant relationship with the Company Corporation, or its affiliates or subsidiaries; or (6) any existing employee, agent or consultant of the Company Corporation, or its affiliates or subsidiaries, to work in any capacity for or on behalf of any person, Company Corporation or other business enterprise that is in competition with the Company Corporation, or its affiliates or subsidiaries.

Xxxx Xxxxx acquired information as a result of any solicitation efforts by the Company or its parent, affiliates or subsidiaries, or by the prospective vendor, during Xx. Xxxx'x Xxxxx'x employment with the Company; (5) any existing employee, agent or consultant of the Company or its parent, affiliates or subsidiaries, to terminate or otherwise alter the person's or entity's employment, agency or consultant relationship with the Company or its parent, affiliates or subsidiaries; or (6) any existing employee, agent or consultant of the Company or its parent, affiliates or subsidiaries, to work in any capacity for or on behalf of any person, Company company or other business enterprise that is in competition with the Company or its parent, affiliates or subsidiaries.

Xxxx'x Xxxx’x employment with the Company; (5) any existing employee, agent or consultant of the Company or its affiliates or subsidiaries, to terminate or otherwise alter the person's ’s or entity's ’s employment, agency or consultant relationship with the Company or its affiliates or subsidiaries; or (6) any existing employee, agent or consultant of the Company or its affiliates or subsidiaries, to work in any capacity for or on behalf of any person, Company or other business enterprise that is in competition with the Company or its affiliates or subsidiaries.

Xxxx'x Xxxxxx’x employment with the Company; (3) iii. any existing vendor of the Company or its affiliates or subsidiaries; (4) iv. any prospective vendor of the Company or its affiliates or subsidiaries, about whom Xx. Xxxx Xxxxxx acquired information as a result of any solicitation efforts by the Company or its affiliates or subsidiaries, or by the prospective vendor, during Xx. Xxxx'x Xxxxxx’x employment with the Company; (5) v. any existing employee, agent or consultant of the Company or its affiliates or subsidiaries, to terminate or otherwise alter the person's ’s or entity's ’s employment, agency or consultant relationship with the Company or its affiliates or subsidiaries; or (6) vi. any existing employee, agent or consultant of the Company or its affiliates or subsidiaries, to work in any capacity for or on behalf of any person, Company or other business enterprise that is in competition with the Company or its affiliates or subsidiaries.

Xxxx Xxxxxxxx will not engage in any unfair competition against the Company, or any of its subsidiaries or affiliates. b. For a period of 12 24 months after the Effective Date, Xx. Xxxx Xxxxxxxx will not, directly or indirectly, solicit or contact for the purpose of diverting or taking away or attempt to solicit or contact for the purpose of diverting or taking away: (1) any existing customer of the Company or its affiliates or subsidiaries; (2) any prospective customer of the Company or its affiliates or subsidiaries about whom Xx. Xxxx Xxxxxxxx acquired information as a result of any solicitation efforts by the Company or its affiliates or subsidiaries, or by the prospective customer, during Xx. Xxxx'x Xxxxxxxx’x employment with the Company; (3) any existing vendor of the Company or its affiliates or subsidiaries; (4) any prospective vendor of the Company or its affiliates or subsidiaries, about whom Xx. Xxxx Xxxxxxxx acquired information as a result of any solicitation efforts by the Company or its affiliates or subsidiaries, or by the prospective vendor, during Xx. Xxxx'x Xxxxxxxx’x employment with the Company; (5) any existing employee, agent or consultant of the Company or its affiliates or subsidiaries, to terminate or otherwise alter the person's ’s or entity's ’s employment, agency or consultant relationship with the Company or its affiliates or subsidiaries; or (6) any existing employee, agent or consultant of the Company or its affiliates or subsidiaries, to work in any capacity for or on behalf of any person, Company or other business enterprise that is in competition with the Company or its affiliates or subsidiaries.

Xxxx Xxxxxxxx will not engage in any unfair competition against the CompanyCorporation, or any of its subsidiaries or affiliates. b. Xxxx Xxxxxxxx will not, directly or indirectly, solicit or contact for the purpose of diverting or taking away or attempt to solicit or contact for the purpose of diverting or taking away: (1) any existing customer of the Company Corporation or its affiliates or subsidiaries; (2) any prospective customer of the Company Corporation or its affiliates or subsidiaries about whom Xx. Xxxx Xxxxxxxx acquired information as a result of any solicitation efforts by the Company Corporation or its affiliates or subsidiaries, or by the prospective customer, during Xx. Xxxx'x Xxxxxxxx' employment with the CompanyCorporation; (3) any existing vendor of the Company Corporation or its affiliates or subsidiaries; (4) any prospective vendor of the Company Corporation or its affiliates or subsidiaries, about whom Xx. Xxxx Xxxxxxxx acquired information as a result of any solicitation efforts by the Company Corporation or its affiliates or subsidiaries, or by the prospective vendor, during Xx. Xxxx'x Xxxxxxxx' employment with the CompanyCorporation; (5) any existing employee, agent or consultant of the Company Corporation or its affiliates or subsidiaries, to terminate or otherwise alter the person's or entity's employment, agency or consultant relationship with the Company Corporation or its affiliates or subsidiaries; or (6) any existing employee, agent or consultant of the Company Corporation or its affiliates or subsidiaries, to work in any capacity for or on behalf of any person, Company Corporation or other business enterprise that is in competition with the Company Corporation or its affiliates or subsidiaries.

Xxxx Xxxxx will not, directly or indirectly, use the Company’s trade secret information to solicit or contact for the purpose of diverting or taking away or attempt to solicit or contact for the purpose of diverting or taking away: (1) any existing customer of the Company or its parent, affiliates or subsidiaries; (2) any prospective customer of the Company or its parent, affiliates or subsidiaries about whom Xx. Xxxx Xxxxx acquired information as a result of any solicitation efforts by the Company or its parent, affiliates or subsidiaries, or by the prospective customer, during Xx. Xxxx'x Xxxxx’x employment with the Company; (3) any existing vendor of the Company or its parent, affiliates or subsidiaries;; or (4) any prospective vendor of the Company or its parent, affiliates or subsidiaries, about whom Xx. Xxxx Xxxxx acquired information as a result of any solicitation efforts by the Company or its parent, affiliates or subsidiaries, or by the prospective vendor, during Xx. Xxxx'x Xxxxx’x employment with the Company;. c. For a period of one year after the Effective Date, Xx. Xxxxx will not, directly or indirectly solicit or contact for the purpose of diverting or taking away or attempt to solicit or contact for the purpose of diverting or taking away: (51) any existing employee, agent or consultant of the Company or its parent, affiliates or subsidiaries, to terminate or otherwise alter the person's ’s or entity's ’s employment, agency or consultant relationship with the Company or its parent, affiliates or subsidiaries; or (62) any existing employee, agent or consultant of the Company or its parent, affiliates or subsidiaries, to work in any capacity for or on behalf of any person, Company company or other business enterprise that is in competition with the Company or its parent, affiliates or subsidiaries.
