No Unlawful Contributions or Other Payments. Neither the Company nor any of its subsidiaries nor, to the Company’s knowledge, any director, officer, employee, agent, affiliate or other person acting on behalf of the Company or any subsidiary has (i) used any corporate funds for any unlawful contribution, gift, entertainment or other unlawful expense relating to political activity; (ii) made any direct or indirect unlawful payment to any foreign or domestic government officials or employees, political parties or campaigns, political party officials, or candidates for political office from corporate funds; (iii) violated or is in violation of any provision of the U.S. Foreign Corrupt Practices Act of 1977, as amended, or any applicable anti-corruption laws, rules, or regulations of any other jurisdiction in which the Company or any subsidiary conducts business; or (iv) made any other unlawful bribe, rebate, payoff, influence payment, kickback or other unlawful payment to any person.

Neither the Company nor any of its subsidiaries nor, to the best of the Company’s knowledge, any director, officer, employee, agent, affiliate or other person acting on behalf of the Company or any subsidiary has (i) used any corporate funds for any unlawful contribution, gift, entertainment or other unlawful expense relating to political activity; (ii) made any direct or indirect unlawful payment to any foreign or domestic government officials or employees, political parties or campaigns, political party officials, or candidates for political office from corporate funds; (iii) violated or is in violation of any provision of the U.S. Foreign Corrupt Practices Act of 1977, as amended, or any applicable anti-corruption laws, rules, or regulations of any other jurisdiction in which the Company or any subsidiary conducts business; or (iv) made any other unlawful bribe, rebate, payoff, influence payment, kickback or other unlawful payment to any person.

Neither of the Company Issuers nor any of its subsidiaries nor, to the Company’s knowledge, their Subsidiaries nor any director, officer, employee, agent, affiliate employee or other person acting on behalf of the Company Issuers or any subsidiary has of their Subsidiaries has, in the course of its actions for, or on behalf of, either of the Issuers or any of their Subsidiaries (i) used any corporate funds for any unlawful contribution, gift, entertainment or other unlawful expense expenses relating to political activity; , (ii) made any direct or indirect unlawful payment to any foreign or domestic government officials official or employees, political parties or campaigns, political party officials, or candidates for political office employee from corporate funds; , (iii) violated or is in violation of any provision of the U.S. Foreign Corrupt Practices Act of 1977, as amended, or any applicable anti-corruption laws, rules, or and the rules and regulations of any other jurisdiction in which the Company or any subsidiary conducts business; thereunder or (iv) made any other unlawful bribe, rebate, payoff, influence payment, kickback or other unlawful payment to any personforeign or domestic government official or employee.
