No Untrue Information. Neither this Agreement, any Transfer Supplement nor any statement, report or other document prepared by the Seller or to be prepared by the Seller pursuant to this Agreement or in connection with the transactions contemplated hereby contains any untrue statement of a material fact relating to the Seller or the Eligible Loans or omits to state a fact necessary to make the statements herein or therein not materially misleading.

No Untrue Information. Neither To the Seller’s knowledge, neither this Agreement, any Transfer Supplement Agreement nor any information, statement, report tape, diskette, report, form, or other document prepared by the Seller furnished or to be prepared by the Seller furnished pursuant to this Agreement or in connection with the transactions contemplated hereby (including any Securitization Transaction or Whole Loan Transfer) contains or will contain any untrue statement of a material fact relating to the Seller or the Eligible Loans or omits or will omit to state a fact necessary to make the statements contained herein or therein not materially misleading.;
