At the date of each such solicitation, at each Settlement Date with respect to any Terms Agreement and at each resale of Notes by a Purchaser in accordance with Section 2(d) hereof, neither the Registration Statement nor any amendment thereof shall contain an untrue statement of a material fact, or omit to state a fact that is required to be stated therein or is necessary to make the statements therein not misleading; and the Prospectus, as then amended or supplemented, and any applicable Issuer Free Writing Prospectuses shall not include an untrue statement of a material fact that is necessary in order to make the statements therein, in the light of the circumstances under which they were made, not misleading.
