None of this Agreement or the Loan Documents nor any other agreements, reports, schedules, certificates or instruments heretofore or simultaneously with the execution of this Agreement delivered to Lender, contains any misrepresentation or untrue statement of fact or omits to state any fact necessary to make any of such agreements, reports, schedules, certificates or instruments not misleading.
