Common use of No Violation; Compliance with Laws Clause in Contracts

No Violation; Compliance with Laws. (i) The Company is not in violation of its charter or bylaws in any material respect and (ii) no other Material Entity is in violation of its respective charter or bylaws or similar organizational document in any material respect. Neither the Company nor any of its Subsidiaries is or has been at any time since December 31, 2015, in violation of any Law or Order, except for any such violation that has not and would not reasonably be expected to have, individually or in the aggregate, a Material Adverse Effect. There is and since December 31, 2015 has been no failure on the part of the Company to comply in all material respects with the Xxxxxxxx-Xxxxx Act, and the rules and regulations promulgated by the SEC thereunder.

(ia) The Company is not, and the Issuer shall not be, in violation of its charter Articles of Association or bylaws in any material respect similar organizational document, and (iib) no other Material Entity Debtor is in violation of its respective charter or articles of association, charter, bylaws or similar organizational document in any material respectdocument. Neither the Company nor any of its Subsidiaries the other Debtors is or has been at any time since December 31January 1, 2015, 2018 in violation of any Law or Order, except for any such violation that has does not and would not reasonably be expected to have, individually or in the aggregate, constitute a Material Adverse Effect. There is and since December 31January 1, 2015 2018 has been no failure on the part of the Company to comply in all material respects with the Xxxxxxxx-Xxxxx ActAct of 2002, as amended, and the rules and regulations promulgated by the SEC thereunder.
