Common use of No Violation, Etc Clause in Contracts

No Violation, Etc. The execution, delivery and performance of this Agreement by such Investor and the other Principal Agreements to which it is a party will not: (a) violate any provision of the organizational documents of such Investor; (b) to the best knowledge of such Investor, require such Investor to obtain any consent, approval or action of, or make any filing with or give any notice to, any Government Entity or any other third party pursuant to any agreement to which such Investor is a party; or (c) to the best knowledge of such Investor, violate any applicable law or regulation of the country where such Investor is incorporated or any other jurisdiction in which such Investor maintains a business presence.
