No Violation, Etc. Neither the execution and delivery of this Agreement or the Closing Documents nor the consummation of the transactions contemplated by this Agreement or the Closing Documents nor compliance by Purchaser with any of the provisions hereof or thereof (a) violates or conflicts with any provision of the certificate of incorporation or by-laws of Purchaser or (b) violates, or conflicts with, or results in a breach of any provision of, or constitutes a default (or gives rise to any right of termination, cancellation or acceleration) under, any of the terms, conditions or provisions of any agreement, lease, instrument, obligation, understanding or arrangement to which Purchaser or Purchaser’s properties or assets may be bound or affected by or (c) violates any law, statute, rule or regulation to which Purchaser is subject.
