No Violation; Governmental Consents. (a) The Company has complied with all federal, state, local and foreign laws, regulations and orders applicable to its business except where the failure to so comply would not have a material adverse effect on its financial condition, business, prospects or results of operations. The execution, delivery and performance of this Agreement and consummation of the transactions contemplated hereby will not violate or be in conflict with any provision of law, any order, rule or regulation of any court or other agency of government.
