No Violation of Agreements, Etc. This Agreement constitutes a valid and binding obligation of Seller enforceable against Seller in accordance with its terms, and this Agreement and all transactions contemplated hereby will not result in the violation of any terms of the Articles of Incorporation or By-Laws of Seller or to the best of Seller's knowledge, any law or agreement to which Seller is a party or by which it is bound, subject to Seller obtaining the consents required pursuant to the terms of this Agreement.
