Common use of No Violation of Anti-Terrorism Laws Clause in Contracts

No Violation of Anti-Terrorism Laws. None of Purchaser’s property or interests is subject to being “blocked” under any Anti-Terrorism Laws, and neither Purchaser nor any Person holding any direct or indirect interest in Purchaser is in violation of any Anti-Terrorism Laws. Notwithstanding the foregoing, if Seller has Knowledge prior to Closing of a breach of any representation or warranty made by Purchaser in this Agreement and Seller nevertheless elects to close the transaction described in this Agreement, such representation or warranty by Purchaser shall be deemed to be qualified or modified to reflect Seller’s Knowledge of such breach.

Notwithstanding the foregoing, if Seller Purchaser has Knowledge prior to Closing of a breach of any representation or warranty made by Purchaser Seller in this Agreement prior to Closing, and Seller Purchaser nevertheless elects proceeds to close the transaction transactions described in this Agreement, then such representation or warranty by Purchaser Seller shall be deemed to be qualified or modified to reflect SellerPurchaser’s Knowledge of such breach.
