Common use of No Violation of Applicable Law Clause in Contracts

No Violation of Applicable Law. Notwithstanding any provision of this Agreement to the contrary, if the redemption of the Preferred Shares, the Warrants, the Underlying Shares or the Warrant Shares otherwise required under this Agreement, the Preferred Share, the Warrant, or the Registration Rights Agreement would be prohibited by the relevant provisions of Nevada law, such redemption shall be effected as soon as it is permitted under such law; provided, however, that interest payable by the Company with respect to any such redemption shall continue to accrue in accordance with Section 4.20.

Notwithstanding any provision of this Agreement to the contrary, if the redemption of the Preferred Shares, the Warrants, Debentures or the Underlying Shares or the Warrant Shares otherwise required under this Agreement, the Preferred Share, the Warrant, Agreement or the Registration Rights Agreement Debentures would be prohibited by the relevant provisions of Nevada law, such redemption shall be effected as soon as it is permitted under such law; provided, however, that interest payable by the Company with respect to any such redemption shall continue to accrue in accordance with Section 4.20.
