Its execution, delivery and performance of the transaction contemplated by this Agreement and all other transaction documents it is to execute and deliver under the terms of this Agreement does not, to the best of its knowledge, violate any law, rule, regulation, ordinance, judgment, decree or order to which it or the Assets or any portion thereof is subject.
