No Violations; No Actions. Consummation of the transactions ------------------------- contemplated by this Agreement shall not violate any order, decree or judgment of any court or governmental body having competent jurisdiction and no action or proceeding shall have been instituted or threatened by any person, entity or governmental agency in connection with consummation of the transactions contemplated by this Agreement which, in any such case, in the reasonable judgment of MIKOHN, has a reasonable probability of resulting in [1] the obtaining of material damages from MIKOHN or PGI; or [2] an order, judgment or decree restraining, prohibiting or rendering unlawful the consummation of the transactions contemplated by this Agreement.
