No Voting Trusts and Agreements. Between the date of this Agreement and the Expiration Date, Holder will not, and will not permit any entity under Holder's control to, deposit any Shares or New Shares held by Holder or such entity in a voting trust or subject any Shares or New Shares held by such Holder or such entity to any arrangement or agreement with respect to the voting of such shares of capital stock, other than agreements contemplated by the Merger Agreement (including, without limitation, that certain Voting Agreement to be executed by and among Xxxxxxx Xxxxxx, Xxxx X. Xxxxxx and certain stockholders of SM providing for the election of Messrs. Xxxxxx and Xxxxxx to the Board of Directors of CC).

Between the date of this Agreement and the Expiration Date, Stockholder will not, and will not permit any entity under Stockholder's control to, deposit any shares of OEDC capital stock held by Stockholder or such entity in a voting trust or subject any shares of OEDC capital stock held by such Stockholder or such entity to any arrangement or agreement with respect to the voting of such shares of capital stock, other than agreements entered into with Titan.
No Voting Trusts and Agreements. Between the date of this ------------------------------- Agreement and the Expiration Date, each Stockholder will not, and will not permit any entity under each Stockholder's control to, deposit any shares of Target capital stock held by each Stockholder or such entity in a voting trust or subject any shares of Target capital stock held by each Stockholder or such entity to any arrangement or agreement with respect to the voting of such shares of capital stock, other than agreements entered into with Acquirer; provided, however, that each Stockholder may deposit the Shares into a voting trust that agrees to be bound by this Agreement.

No Voting Trusts and Agreements. The Shareholder has not, will not, and will not permit any entity under the Shareholder's control to deposit any shares of Target Capital Stock held by the Shareholder or such entity in a voting trust or subject any shares of Target Capital Stock held by the Shareholder or such entity to any arrangement or agreement with respect to the voting of such shares of Target Capital Stock, other than agreements entered into with Acquiror except as set forth in the amendedand Restated Voting Agreement dated December 30, 1996 by and among Target and certain shareholders of Target.

Between the date of this Agreement and the Expiration Date, Holder will not, and will not permit any entity under Holder's control to, deposit any shares of Kana capital stock held by Holder or such entity in a voting trust or subject any shares of Kana capital stock held by such Holder or such entity to any arrangement or agreement with respect to the voting of such shares of capital stock, other than agreements entered into with Silknet.
No Voting Trusts and Agreements. Between the date of this Agreement and the Expiration Date, the Shareholder will not, and will not permit any entity under the Shareholder's control to, deposit any Synergetics Shares held by the Shareholder or such entity in a voting trust or subject any Synergetics Shares held by the Shareholder or such entity to any arrangement or agreement with respect to the voting of such shares of capital stock, other than agreements entered into with Valley Forge and Synergetics, unless the trustee of such trust agrees in writing to be bound by the terms of this Agreement.

Between the date of this Agreement and the Expiration Date, Stockholder will not, and will not permit any entity under Stockholder's control to, deposit any shares of USR capital stock held by Stockholder or such entity in a voting trust or subject any shares of USR capital stock held by such Stockholder or such entity to any arrangement or agreement with respect to the voting of such shares of capital stock, other than agreements entered into with 3Com. 4.3.
