Common use of No Voting Trusts or Agreements Clause in Contracts

No Voting Trusts or Agreements. Each Stockholder agrees that it will not, and will not permit any entity under its control to, deposit any of the Shares or New Shares held or owned by such Stockholder in any voting trust, grant any proxies or powers of attorney with respect to such Shares or New Shares or, except as contemplated by this Agreement, subject any such Shares or New Shares to any agreement, instrument or arrangement with respect to the voting of such Shares or New Shares other than this Agreement.

Each Stockholder Shareholder agrees that it such Shareholder will not, and will not permit any entity under its such Shareholder’s control to, deposit any of the Shares or New Shares held or owned by such Stockholder Shareholder in any voting trust, grant any proxies or powers of attorney with respect to the voting of such Shares or New Shares or, except as contemplated by this Agreement, or subject any such Shares or New Shares to any agreement, instrument or arrangement with respect to the voting of such Shares or New Shares other than this Agreement.
