Common use of No Waiver; Amendment Clause in Contracts

No Waiver; Amendment. No failure or delay of either party in the exercise of any right given to such party hereunder shall constitute a waiver thereof unless the time specified herein for exercise of such right has expired, nor shall any single or partial exercise of any right preclude other or further exercise thereof or of any other right. No waiver by any party hereto of any breach or default shall be considered to be a waiver of any other breach or default. The waiver of any condition shall not constitute a waiver of any breach or default with respect to any covenant, representation or warranty. No provision hereof may be waived or modified except by written agreement signed by Owner and Recipient. Nothing contained herein will be construed as an expression of intention by either Owner or Recipient to enter into definitive arrangements in the nature of a purchase and sale agreement regarding the Property, and no obligation regarding such will be binding upon either Owner or Recipient unless and until a definitive agreement is fully negotiated and executed by the parties.
