Common use of Nominal Value of Common Stock Clause in Contracts

Nominal Value of Common Stock. Before taking any action which would cause an adjustment effectively reducing the portion of the Warrant Price allocable to each share of Common Stock below the then nominal value per share of Common Stock issuable upon exercise of the Warrants, the Company will take any corporate action which may, in the opinion of its counsel, be necessary in order that the Company may validly and legally issue fully-paid and nonassessable Shares upon exercise of the Warrants.
