The Purchaser has not made any payment or loan to, or borrowed any monies from or is otherwise indebted to, any officer, director, employee, shareholder or any other Person not dealing at arm’s length with the Purchaser, except as disclosed in the Purchaser Public Disclosure Record. The Purchaser is not a party to any Contract with any officer, director, employee, shareholder or any other Person not dealing at arm’s length with the Purchaser, except for any employment agreements with the employees of the Purchaser or as described in the Purchaser Public Disclosure Record.
