Non-Collaboration Know-How. Any Know-How discovered, developed, generated or invented by Celgene or its Affiliates or Vividion or its Affiliates prior to or outside the Collaboration shall remain the sole property of such Party or its applicable Affiliate(s), except as otherwise agreed by the Parties.
