Common use of Non-Company Business Clause in Contracts

Non-Company Business. Except with the prior written consent of the Board, Executive will not during the term of Executive’s employment with the Company undertake or engage in any other employment, occupation or business enterprise, other than ones in which Executive is a passive investor. Executive may engage in civic and not-for-profit activities so long as such activities do not materially interfere with the performance of Executive’s duties hereunder.

Executive may engage in civic and not-for-profit activities so long as such activities do not materially interfere with the performance of Executive’s duties hereunder.

Non-Company Business. Executive is permitted to serve as a member of the board of directors of one company provided that such company is not a competitor of the Company. Except with the prior written consent of the BoardCompany, which will not unreasonably be withheld, Executive will not during the term of Executive’s employment with the Company undertake or engage in any other employment, occupation or business enterprise, other than ones in which Executive is a passive investorinvestor or received written clearance from the Company. Executive may engage in civic and not-for-profit activities activities, so long as such activities do not materially interfere with the performance of Executive’s duties hereunder.

Except with as otherwise agreed to in writing between Executive and the prior written consent of the BoardCompany’s Chief Executive Officer, Executive will not not, during the term of Executive’s employment with the Company Company, undertake or engage in any other employment, occupation or business enterprise, other than ones in which Executive is a passive investor. Executive may engage in civic and not-for-profit activities so long as such activities do not materially interfere with the performance of Executive’s duties hereunder.

Notwithstanding the foregoing, Executive may continue to be a member of the Board of Directors of no more than two outside companies and to engage in civic and not-for-profit activities so long as such activities do not create a conflict with his employment hereunder or materially interfere with the performance of Executive’s duties hereunderhis duties.
