Non-Compensatory Options. Allocations and other adjustments with respect to any “non-compensatory options” (as defined in Treasury Regulation Section 1.721-2(f)), shall be made in accordance with the Treasury Regulations including Treasury Regulation Sections 1.721-2 and 1.704-1(b)(2)(iv)(s).
Non-Compensatory Options. If capital is reallocated between or among the Partners pursuant to Treasury Regulation Section 1.704-1(b)(2)(iv)(S), then the Partnership shall make corrective allocations pursuant to Section 1.704-1(b)(4)(x).
